Terms of Service

1. Acceptance of Terms

Welcome to Clokio. By accessing or using our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms constitute a legally binding agreement between you and MATAT TECHNOLOGIES LTD ("Clokio", "we", "us", or "our").

2. Description of Service

Clokio provides an employee attendance management platform that includes:

  • Clock-in and clock-out tracking via mobile application
  • Facial recognition and biometric verification
  • Geographic location tracking (Geofencing)
  • Leave request and absence management
  • Attendance reports and analytics

3. Registration and Account

When registering for the service, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the confidentiality of your login credentials
  • Notify us immediately of any unauthorized use of your account
  • Update your account information as necessary

You are solely responsible for all activity that occurs under your account.

4. Acceptable Use

You agree to use the service only for lawful purposes and in accordance with these terms. You shall not:

  • Use the service for any illegal or unauthorized purpose
  • Attempt to hack, disable, or disrupt the service
  • Submit false, misleading, or fraudulent data
  • Use the service on behalf of another person without authorization
  • Infringe on intellectual property rights of the company or third parties
  • Attempt to reverse engineer, decompile, or extract source code
  • Use automated systems or bots to access the service

5. Employer Obligations

When using the service as an organization/employer, you agree to:

  • Obtain proper consent from employees for data collection
  • Inform employees about the use of the attendance system
  • Comply with all applicable labor laws in your jurisdiction
  • Not misuse attendance data for discriminatory purposes
  • Ensure proper data protection measures within your organization

6. Intellectual Property

All rights in the service, including but not limited to software, design, logos, text, graphics, and trademarks, are owned by Clokio or its licensors. You may not copy, modify, distribute, sell, or create derivative works without prior written consent.

7. Payment and Pricing

The service is offered under various subscription plans. By selecting a paid plan, you agree:

  • To pay subscription fees according to the selected plan
  • That prices may change with prior notice
  • Refunds will be provided according to our refund policy
  • Failure to pay may result in service suspension

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

To the fullest extent permitted by applicable law, Clokio expressly disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the service will be uninterrupted, timely, secure, or error-free
  • Warranties regarding the accuracy, reliability, or completeness of any data or content
  • Warranties that defects will be corrected or that the service is free of viruses or harmful components

You acknowledge that attendance data, time records, location information, and any other data processed by the service may contain errors, inaccuracies, or delays. You agree to independently verify any critical data before making employment, payroll, or legal decisions based on such data.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOKIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, business opportunities, or goodwill
  • Service interruptions, downtime, or unavailability
  • Data loss, corruption, or unauthorized access
  • Inaccurate, incomplete, or delayed attendance records
  • Errors in time calculations, working hours, or payroll data
  • Failure of biometric recognition or location services
  • Third-party actions, including hacking or security breaches
  • Decisions made based on data provided by the service
  • Labor disputes, legal claims, or regulatory penalties arising from use of the service
  • Any damages arising from force majeure events

IN NO EVENT SHALL CLOKIO'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

10. Service Availability and Data Accuracy

No Guarantee of Availability: We do not guarantee that the service will be available at all times. The service may be subject to interruptions, delays, or failures due to maintenance, updates, technical issues, network problems, or circumstances beyond our control.

No Guarantee of Data Accuracy: While we strive to provide accurate data, we do not warrant the accuracy, completeness, or timeliness of attendance records, location data, time calculations, or any other information processed by the service. Factors such as device malfunctions, GPS inaccuracies, network delays, user error, or system issues may affect data accuracy.

User Responsibility: You are solely responsible for verifying attendance data before using it for payroll, legal compliance, or any other purpose. Clokio shall not be liable for any consequences arising from reliance on unverified data.

11. Indemnification

You agree to indemnify, defend, and hold harmless Clokio, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the service
  • Your violation of these terms
  • Your violation of any applicable laws or regulations
  • Your violation of any third-party rights
  • Any dispute between you and your employees regarding attendance data
  • Any employment-related claims arising from use of the service

12. Termination

Clokio may suspend or terminate your access to the service at any time, with or without cause, including for violation of these terms. Upon termination:

  • You may export your data within 30 days
  • After that period, data will be deleted according to our retention policy
  • Existing payment obligations remain in effect
  • Provisions that by their nature should survive termination shall remain in effect

13. Modifications to Terms

We reserve the right to modify these terms at any time. We will notify you of material changes at least 30 days in advance via email or in-app notification. Continued use of the service after changes become effective constitutes acceptance of the modified terms.

14. Governing Law and Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to conflict of law principles. Any dispute arising from these terms or your use of the service shall be subject to the exclusive jurisdiction of the courts in Tel Aviv-Yafo, Israel.

Before initiating any legal action, you agree to attempt to resolve any dispute informally by contacting us. If the dispute is not resolved within 30 days, either party may proceed with formal legal action.

15. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Clokio regarding the use of the service and supersede all prior agreements and understandings.
